Federal regulators are suing to block UnitedHealth Group’s acquisition of technology company Change Healthcare. There are concerns that the acquisition will put too much medical claims information in the hands of one company.
The U.S. Justice Department said Thursday that the proposed deal would stifle competition and give UnitedHealth Group, which operates the nation’s largest insurer, access to confidential claims information from rivals.
Attorney General Merrick Garland said in a statement: “If the nation’s largest health insurer is allowed to acquire a major competitor in critical medical billing technology, it will reduce competition in health insurance and lower costs for employers. It will stifle innovation in the health insurance market.”
Unitedhealth Offers Details On 2023 Outlook
Justice Department officials said in a statement that the deal would give UnitedHealth control of “the critical data highway through which approximately half of all American health insurance claims are received each year.”
They added that the company may use the confidential information of these competitors for its own business purposes.
In a complaint filed in federal court, the regulator said: “While United carefully protects its claims data, it covets the claims data of its competitors, and for that reason it has long sought to acquire Change.”

A spokesman for UnitedHealth said Thursday that the Justice Department’s “seriously flawed position is based on highly speculative theories that do not reflect the reality of the health care system. I will defend myself.”
President Joe Biden has made competition a central pillar of his economic policy, decrying overwhelming market power in several industries and stressing the importance of strong competition for the economy, workers, consumers and small businesses. Biden has called on federal regulators to scrutinize big business mergers more closely.
Health care was one of the industries cited in Biden’s July executive order on competition, showcasing actions aimed at dominating the market.

The lawsuit filed Thursday drew praise from several groups, including the National Association of Community Pharmacists, which called the deal “a threat to fair competition, patient choice and independent pharmacies.”
The American Economic Liberties Project, which advocates for stronger antitrust regulation, said the deal would allow UnitedHealth to “strengthen its monopoly at the expense of patients, health care providers and the resilience of our health care system as a whole.” He said that “power” can be defined further.
UnitedHealth announced in January 2021 that it would use about $8 billion in cash to add the Nashville, Tenn.-based company to boost its capabilities in providing data analytics, revenue cycle management support and more.

Dividends look in great shape as shown in the chart below. The dividend payout ratio is around 30%, so it looks like we can pay dividends with confidence. Annual growth of nearly 20% over the past five years has significantly outpaced inflation. The only downside is the current crop. A high interest rate environment offers more attractive income opportunities.
In addition to dividends, companies return capital to shareholders through share buyback programs. Share buybacks reduce the number of shares outstanding and thus support EPS growth. Over the past decade, shares outstanding have declined by 8%, which supports already rapid EPS growth. Buybacks are most effective when stock prices are low. The company doesn’t, so a limited buyback makes sense as we see it today.
After a year of stagnation, the company has a P/E (price-to-earnings) ratio of 24 using 2022 EPS projections. This is roughly the average rating over the past 12 months. Given the projected EPS in 2023, the P/E is closer to 20, which seems more reasonable in the current business environment with rising interest rates.
